On Sept. 15 the US Senate blocked, 49 to 50, the CLARITY Act, which sought to write crypto rules into law for the first time. After the vote, the total crypto market cap lost nearly $100 billion. Yet two days later, the US Securities and Exchange Commission (SEC, the government agency that oversees the stock market) allowed venues for trading stocks as blockchain tokens for five years.<\/p>\n\n\n\n

The Senate shut a door and the SEC opened one, so it looks as if the US changed its mind in two days. But the two events were different doors. One can open only with a new law; the other could be opened under laws already on the books. Knowing this difference shows which crypto businesses will be freed up first.<\/p>\n\n\n\n

  1. What the Senate blocked was a law deciding who ‘manages’ crypto<\/li>\n<\/ol>\n\n\n\n

    The CLARITY Act is a bill that divides oversight of coins like Bitcoin between the SEC and the CFTC (the US Commodity Futures Trading Commission, which oversees futures and commodities markets) and sets registration requirements for crypto companies. Because current financial law doesn't clearly say whether a coin is a security or a commodity, the bill aims to pin down the regulator by law. The House passed it 294 to 134 on July 17, 2025.<\/p>\n\n\n\n

    In the Senate, even the procedural vote to begin debate needs 60 votes. The result was 49 in favor and 50 against. All Democrats and four Republican senators voted no. One of them, Sen. Tillis, voted no on procedural grounds so the bill could be brought back for another vote.<\/p>\n\n\n\n

    The bill stalled not over the crypto rules themselves but over an ethics provision. The provision would bar the president and other officials from profiting from crypto businesses while in office, and Democrats saw it as too loose. The fight grew after President Trump's family disclosed earning $1.4 billion from crypto businesses last year.<\/p>\n\n\n\n

    1. Stock tokenization puts the same stock in new packaging<\/li>\n<\/ol>\n\n\n\n

      Stock tokenization puts one share of, say, Apple or Nvidia into a digital certificate on a blockchain, a token. The contents are still the stock; only the packaging changes. Because the packaging is a blockchain, there is room to change trading hours or settlement methods.<\/p>\n\n\n\n

      What the SEC allowed is this ‘stock in new packaging.’ Token holders must have the same rights as ordinary shareholders, including dividends and voting. Synthetic products that only track the stock price without the rights were left out of this approval.<\/p>\n\n\n\n

      1. Because it is only repackaged stock, the SEC could open it without a new law<\/li>\n<\/ol>\n\n\n\n

        In the US, a venue for buying and selling stocks normally has to register as a stock exchange. But Section 36 of the Securities Exchange Act gives the SEC the power to grant exemptions. If it serves the public interest and is consistent with investor protection, the SEC can conditionally exempt parties from the rules.<\/p>\n\n\n\n

        On Sept. 17 the SEC used this power to issue an order. It excluded new venues trading tokenized stocks (tokenized securities trading venues) from the definition of an exchange, and exempted those supplying trading volume to those venues from dealer registration. Since the contents are stocks, the SEC was the regulator from the start and only needed to carve out exceptions to existing provisions.<\/p>\n\n\n\n

        Coins were different. Because it was unclear from the start whether they are securities or commodities, lawmakers tried to set the regulator by law, and that law was blocked. That is why one door shut and another opened in the same week.<\/p>\n\n\n\n

        1. But the door is narrow, and the deadline is five years<\/li>\n<\/ol>\n\n\n\n

          Because an exemption must be consistent with investor protection, conditions were attached. Venues must be run by US entities and can be used only by permitted participants whose identities are verified. Prices are set not by an order book but by automated market making (a method in which a program sets prices by a fixed formula).<\/p>\n\n\n\n

          To trade tokenized stock created by a third party rather than the company itself, a venue must notify the company and wait 30 days, and if the company objects, it cannot trade. Caps were also placed on the number of listed stocks and on trading volume. The exemption is set to expire in five years, in September 2031.<\/p>\n\n\n\n

          The SEC called the order a temporary measure until formal rules are written. The sequence is to open narrowly first, see the results, and then decide whether to widen it.<\/p>\n\n\n\n

          1. How is a law different from an exemption?<\/li>\n<\/ol>\n\n\n\n

            Once a law is passed, changing it also requires Congress. An exemption order is issued by the SEC itself, so the SEC can change its conditions. In fact, this order also opened a process to take comments on how to change the exemption.<\/p>\n\n\n\n

            Without a law, regulation depends on who is in the White House. The SEC under the Biden administration cracked down hard on crypto, and the SEC under the Trump administration changed course. The CFTC chair also said on Sept. 16 that the agency would write rules using its authority under existing law.<\/p>\n\n\n\n

            The CLARITY Act isn't completely dead, because Sen. Tillis filed a motion to reconsider. But with the Senate expected to recess in early October ahead of the November midterm elections, the bill is likely to be pushed to next year.<\/p>\n\n\n\n

              US crypto regulation news should be read not by ‘did the law pass?’ but by ‘can this be handled under laws that already exist?’ Businesses that put existing assets like stocks into blockchain packaging open first at the SEC's discretion, even when Congress is stuck. Pinning down jurisdiction, such as whether a coin is a security or a commodity, is tied to Congress's schedule.<\/p>\n\n\n\n

              So the crypto slide on Sept. 15 and the tokenization approval on Sept. 17 are not a contradiction. Coin prices lost the certainty a law would bring, while tokenization businesses gained a channel within existing law.<\/p>\n\n\n\n

              But this channel rests on an SEC decision, not a law. Even the five-year exemption isn't fixed like a law; it is a decision whose conditions the SEC can change. For now, crypto regulation will open bit by bit through regulators' choices, not through Congress.<\/p>\n\n\n\n
